These Terms of Use ("Terms") form a binding agreement between you and Edgedly ("Edgedly", "we", "us", or "our") and govern your access to and use of the Edgedly website, application, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Edgedly is a trading journal and analytics platform. It lets you import trade data, review and annotate your trades, generate analytics, request AI assisted feedback, and optionally share trades for peer review. The Service is a record keeping and analysis tool only.
2. Not financial advice
Edgedly does not provide investment, financial, legal, or tax advice, and nothing in the Service is a recommendation to buy, sell, or hold any security or to pursue any trading strategy. Any analytics, summaries, or AI generated commentary are informational and may be incomplete or inaccurate. Trading involves substantial risk, including the risk of losing more than you invest. You are solely responsible for your own trading decisions and outcomes.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
4. Plans and billing
Edgedly offers a free tier and a paid Pro plan, billed monthly or annually. Prices are shown at checkout and may change with notice. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods. You may cancel anytime; access to paid features continues until the end of the current billing period.
5. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Access the Service through automated means except as we expressly permit, or attempt to disrupt, overload, or reverse engineer the Service.
- Upload content that is unlawful, infringing, or that you do not have the right to share.
- Attempt to gain unauthorized access to other accounts, systems, or data.
6. Your content and data
You retain all rights to the trade data, notes, screenshots, and other materials you submit ("Your Content"). You grant Edgedly a limited license to host, process, and display Your Content solely to operate and improve the Service for you, including processing it through the third party providers described in our Privacy Policy. You are responsible for ensuring you have the right to submit Your Content.
7. Peer review and sharing
If you generate a peer review link, you choose what to share. Shared links are designed to be anonymous and can be revoked by you. You are responsible for the content you choose to share and for any information it may reveal.
8. Market data and integrations
Market-data features rely on your own third-party data account (for example, Alpaca) connected via an API key you provide. Your use of those services is governed by their terms, entitlements, and limits. Edgedly does not resell market data. Trade imports are performed from files you upload; we do not place trades or connect to your broker to execute orders. We are not responsible for third party services, their data, or their availability.
9. Intellectual property
The Service, including its software, design, and branding, is owned by Edgedly and protected by intellectual property laws. We grant you a limited, non exclusive, non transferable right to use the Service in accordance with these Terms. We reserve all rights not expressly granted.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non infringement. We do not warrant that the Service will be uninterrupted, error free, or that imported data, analytics, or AI output will be accurate or complete.
11. Limitation of liability
To the maximum extent permitted by law, Edgedly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, trading losses, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Edgedly harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. On termination, the rights granted to you under these Terms end. You may export Your Content before termination as described in our Privacy Policy.
14. Account deletion
You may request permanent deletion of your account and associated data at any time from Settings → Privacy & Data. We review and execute deletion requests; deletion is permanent and irreversible. If you have an active paid subscription, please cancel it before requesting deletion, or it will be cancelled as part of the deletion. Certain records may be retained where required by law. You may export your data first as described in our Privacy Policy.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. Any disputes will be resolved in the state or federal courts located in Florida, unless applicable law requires otherwise.
